Update on Convening of General Meeting Governed under the Land Titles (Strata) Act

1. The Ministry of Law announced on 15 December 2022 that the COVID-19 (Temporary Measures) (Alternative Arrangements for Meetings) Orders (the “Meetings Orders”), which enable various types of entities (including management corporations) to convene, hold or conduct meetings through electronic means, will cease on 1 July 2023, and that entities can continue to rely on the Meetings Orders to organise meetings up to 30 June 2023. 2. For avoidance of doubt, management corporations (“MCSTs”) and collective sale committees (“CSCs”) may continue to hold meetings governed under the Land Titles (Strata) Act (“LTSA”) in-person, by electronic means or partial electronic means (i.e. a hybrid mode where some attendees attend in person while others attend the meeting online) under the Meeting Orders till 30 June 2023.

3. If an MCST or a CSC decides to hold the general meeting for the purpose of collective sales in hybrid mode, the MCST or CSC should ensure all prevailing provisions and requirements (in respect of e.g. quorum, voting, proxy, etc.) for both in-person and electronic meetings are met. The MCST should also provide assistance to individuals who may find it challenging to use the electronic system, if any, in the course of the meeting.

4. We are reviewing whether to provide the option to conduct meetings governed under the LTSA by electronic means or partial electronic means beyond 30 June 2023, and will share further information when ready.
